Terms and Conditions

Payment, ownership, data, change requests, cancellation, and subscription terms for using Agencio.

Ownership & license

Agencio is a proprietary SaaS product owned by the service provider. The client purchases access to use the platform, along with implementation, configuration, onboarding, and agreed customization services. Ownership of the core software, source code, database structure, UI components, reusable modules, workflows, and product architecture remains with the service provider.
The service provider may reuse, improve, modify, commercialize, and provide the Agencio platform, including its core features and reusable modules, to other agencies, businesses, or clients.
Source code handover is not included in the standard SaaS package. The client receives platform access as a hosted service. Any source code handover, white-label license, exclusive license, or full ownership transfer must be agreed separately in writing and requires separate pricing.
The client receives a non-exclusive, non-transferable right to use Agencio for its own internal business operations during an active subscription or maintenance period.
The client may not copy, resell, sublicense, reverse-engineer, reproduce, distribute, or provide access to Agencio to third parties without written permission from the service provider.
This agreement does not grant exclusivity. The service provider may sell, license, customize, or provide Agencio or similar services to other consultancies, agencies, or businesses.

All business data entered by the client—including student records, agency records, documents, invoices, support tickets, and uploaded files—remains the property of the client. The service provider does not sell, share, or disclose client data to third parties without authorization, except where required for hosting, backup, maintenance, or legal compliance.
Client-specific configuration, branding, content, and business setup are used only for that client. General improvements, reusable features, technical modules, UI patterns, workflow logic, and system enhancements developed during the project may be added to the Agencio core product for other clients, provided confidential data, branding, documents, and private business information are not disclosed.
Both parties agree to keep confidential information private. The service provider protects client business data and does not disclose operational information, student information, financial records, documents, or private communication to unauthorized parties.
The client is responsible for maintaining the security of account credentials and for activity under its authorized user accounts.

The platform is provided as a hosted SaaS solution unless otherwise agreed in writing. Hosting, backup, maintenance, and access management follow the selected package.
Server, domain, storage, SMS gateway, email, or other third-party service costs may be charged separately if usage exceeds the agreed package.
Agencio is provided on a commercially reasonable-efforts basis. Scheduled maintenance, updates, or factors outside the service provider's control may temporarily affect availability. No specific uptime guarantee applies unless agreed in a separate written SLA.

Continued platform access, maintenance, support, updates, and hosting assistance depend on active payment. If payment remains unpaid beyond the agreed grace period, access, support, or maintenance may be paused until outstanding dues are cleared.
Payments are non-refundable once the relevant project phase or billing period has started, unless otherwise required by applicable law.
If the client pauses or cancels after work has started, completed work remains billable.
Monthly SaaS subscription covers platform usage and standard maintenance, not unlimited custom development.
Hosting, storage, SMS, WhatsApp, API usage, premium integrations, and third-party service costs may be billed separately when applicable.

Any feature, workflow, report, integration, design change, or module not included in the approved scope is a change request and quoted separately. Work on change requests begins only after written approval and payment confirmation, where applicable.
Issues or bugs within the approved scope are addressed during the support period. Requests that introduce new functionality, change approved workflows, add reports, integrate external services, or require major UI or business-logic changes are treated as separate paid work.

The client may request an export of its own business data, subject to technical feasibility and reasonable processing time. Export may be provided in a standard format such as CSV, Excel, or database export. Custom export formats or complex migration services may be charged separately.
If the client stops using the service or cancels the subscription, the client may request a copy or export of its data within an agreed period. The service provider may remove inactive client data after the retention period, unless otherwise agreed in writing.

These terms govern use of Agencio as a SaaS product. Additional statements in proposals, invoices, or order forms apply only where explicitly incorporated in writing.
To the extent permitted by law, the service provider is not liable for indirect, incidental, or consequential damages arising from use of the platform. Total liability for direct damages is limited to fees paid by the client for the service in the twelve (12) months preceding the claim, unless a higher limit is set in a signed agreement.
The service provider may update these terms from time to time. Material changes will be communicated through the platform or by email where practicable. Continued use after changes take effect constitutes acceptance of the updated terms.
